Event Organizer Terms and Conditions

These Event Organizer Terms and Conditions (“Organizer Terms”) govern the use of the CIMINOW Platform by any individual or entity creating, promoting, managing, or selling tickets for Events.

These Organizer Terms form a legally binding agreement between the Event Organizer and Journi Ltd., trading as CIMINOW (“CIMINOW”, “Journi”, “we”, “our”, or “us”).

By creating an Event, listing tickets for sale, accepting payments, or otherwise using the Platform as an Event Organizer, you agree to these Organizer Terms.

1. Eligibility

To use the Platform as an Event Organizer, you represent and warrant that:

  • you are at least 18 years of age;
  • you have the legal authority to enter into binding contracts;
  • you are authorized to act on behalf of the organization you represent, if applicable;
  • all information provided during registration is accurate, complete, and current.

CIMINOW reserves the right to request documentation verifying your identity, business registration, or authority to organize Events.

2. Appointment of CIMINOW

The Event Organizer appoints CIMINOW as a non-exclusive ticketing and event management platform for the sale and distribution of tickets through the Platform.

Unless otherwise agreed in writing, CIMINOW acts solely as a technology and payment facilitation provider and is not the promoter, producer, sponsor, venue operator, or employer associated with the Event.

Nothing in these Organizer Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.

3. Organizer Responsibilities

The Event Organizer is solely responsible for:

  • planning and delivering the Event;
  • obtaining all licences, permits, approvals, and insurance;
  • complying with all applicable laws and regulations;
  • ensuring that Event information published on the Platform is accurate and kept up to date;
  • staffing, security, crowd management, health and safety, and emergency planning;
  • collecting and remitting taxes where applicable;
  • honouring all valid tickets issued through the Platform;
  • communicating Event updates promptly to CIMINOW.

The Organizer acknowledges that CIMINOW relies upon the accuracy of information supplied and may suspend or remove Events containing misleading, false, or unlawful content.

4. Event Listings

The Organizer is responsible for all content submitted to the Platform, including:

  • Event names;
  • descriptions;
  • dates and times;
  • venues;
  • ticket prices;
  • seating information;
  • images;
  • promotional materials;
  • terms applicable to attendees.

The Organizer warrants that all submitted content:

  • is accurate;
  • does not infringe third-party rights;
  • is not defamatory, misleading, or unlawful;
  • complies with applicable advertising and consumer protection laws.

CIMINOW reserves the right to edit formatting, reject, suspend, or remove Event listings that violate these Organizer Terms or may adversely affect the integrity of the Platform.

5. Ticket Sales and Pricing

The Organizer determines:

  • ticket categories;
  • ticket quantities;
  • pricing;
  • promotional discounts;
  • sales periods;
  • admission policies.

CIMINOW may establish technical limitations or operational requirements necessary for the proper functioning of the Platform.

Once tickets have been sold, pricing changes may only be made in accordance with Platform functionality and applicable consumer protection laws.

6. Platform Fees

The Organizer agrees to pay the applicable Platform Fees, payment processing fees, transaction fees, and any other charges agreed between the parties.

Fees may be:

  • deducted automatically from ticket proceeds;
  • invoiced separately;
  • collected through another agreed payment arrangement.

Unless otherwise agreed in writing, Platform Fees are non-refundable.

CIMINOW reserves the right to amend future fee schedules by providing reasonable notice.

7. Payment Processing

All ticket payments are processed through payment service providers selected or approved by CIMINOW.

The Organizer authorizes CIMINOW to:

  • receive ticket proceeds on the Organizer’s behalf;
  • deduct applicable fees;
  • process refunds where authorized;
  • withhold payments where necessary under these Organizer Terms.

Payment processing remains subject to the terms of the applicable payment provider.

8. Organizer Payouts

Ticket proceeds, less applicable deductions, shall be paid to the Organizer in accordance with the agreed payout schedule.

CIMINOW may delay, suspend, or withhold payouts where reasonably necessary to:

  • investigate fraud;
  • resolve chargebacks;
  • verify Organizer identity;
  • comply with legal obligations;
  • investigate consumer complaints;
  • mitigate financial risk;
  • recover outstanding amounts owed to CIMINOW.

Any reserve funds retained by CIMINOW shall be released once the relevant risks have been resolved, subject to these Organizer Terms.

9. Refunds

The Event Organizer is solely responsible for establishing and communicating the refund policy applicable to each Event, subject to applicable law.

Unless otherwise agreed in writing, the Organizer authorizes CIMINOW to administer refunds in accordance with the Organizer’s published refund policy and these Organizer Terms.

Where refunds are issued:

  • the refunded ticket shall become invalid;
  • Platform Fees and payment processing fees may remain payable unless otherwise agreed;
  • CIMINOW may deduct refund amounts from future Organizer payouts or invoice the Organizer where sufficient funds are unavailable.

Nothing in these Organizer Terms obligates CIMINOW to fund refunds from its own resources unless expressly agreed in writing.

10. Event Changes, Postponements and Cancellations

The Organizer is responsible for promptly notifying CIMINOW of any:

  • cancellation;
  • postponement;
  • venue change;
  • significant schedule change;
  • performer or programme change;
  • admission policy change.

The Organizer shall provide all information reasonably required to communicate changes to Ticket Holders.

Where an Event is cancelled or materially changed, the Organizer remains responsible for all obligations owed to Ticket Holders, including refunds where applicable.

CIMINOW may communicate Event updates on behalf of the Organizer but assumes no responsibility for the Organizer’s decisions regarding cancellations or refunds.

11. Chargebacks and Payment Disputes

The Organizer acknowledges that payment card chargebacks and payment disputes may occur.

Where a chargeback relates to an Event, CIMINOW may:

  • withhold pending payouts;
  • debit future payouts;
  • recover disputed amounts from the Organizer;
  • request supporting documentation;
  • contest chargebacks on the Organizer’s behalf where appropriate.

The Organizer agrees to provide requested documentation promptly, including:

  • proof of admission;
  • attendee records;
  • Event communications;
  • photographs;
  • signed acknowledgements;
  • refund records;
  • any other information reasonably required to respond to a payment dispute.

If a chargeback is ultimately upheld, the Organizer remains financially responsible unless the loss resulted solely from CIMINOW’s negligence or misconduct.

12. Taxes

The Organizer is solely responsible for determining, collecting, reporting, and remitting any taxes applicable to its Events unless otherwise expressly agreed in writing.

This includes, where applicable:

  • payroll taxes;
  • income taxes;
  • sales or value-added taxes;
  • government levies;
  • tourism taxes;
  • entertainment taxes;
  • withholding obligations.

CIMINOW does not provide tax advice.

Organizers should obtain independent professional advice regarding their tax obligations.

13. Insurance

The Organizer is responsible for obtaining and maintaining insurance appropriate to the nature and scale of each Event.

Depending upon the Event, this may include:

  • public liability insurance;
  • employer’s liability insurance;
  • event cancellation insurance;
  • professional indemnity insurance;
  • marine insurance;
  • motor vehicle insurance;
  • property insurance.

Upon request, CIMINOW may require evidence of insurance before permitting ticket sales.

Failure to maintain appropriate insurance may result in suspension or cancellation of Event listings.

14. Compliance with Laws

The Organizer warrants that each Event complies with all applicable laws, regulations, permits, licences, industry standards, and governmental requirements.

The Organizer shall not use the Platform for Events involving:

  • unlawful activities;
  • prohibited goods or services;
  • fraudulent schemes;
  • hate speech or discrimination prohibited by law;
  • activities infringing intellectual property rights;
  • any activity that could reasonably expose CIMINOW to legal or reputational harm.

CIMINOW reserves the right to suspend or remove any Event where legal compliance cannot be verified.

15. Intellectual Property

The Organizer retains ownership of trademarks, logos, photographs, promotional materials, and other intellectual property submitted to the Platform.

The Organizer grants CIMINOW a worldwide, non-exclusive, royalty-free licence to:

  • display Event information;
  • promote Events;
  • reproduce submitted content;
  • create marketing materials relating to the Event;
  • advertise the Platform and its services.

This licence continues only for so long as reasonably necessary to administer the Event and maintain historical transaction records unless otherwise agreed.

The Organizer warrants that it owns or has permission to use all submitted materials.

16. Marketing and Promotion

CIMINOW may promote Events listed on the Platform through:

  • the CIMINOW website;
  • mobile applications;
  • email communications;
  • social media channels;
  • paid advertising;
  • search engines;
  • media partnerships.

Participation in promotional campaigns does not guarantee ticket sales or attendance.

The Organizer remains responsible for independently marketing its Event unless otherwise agreed.

17. Organizer Representations and Warranties

The Organizer represents and warrants that:

  • all information supplied is truthful and accurate;
  • all required licences and permissions have been obtained;
  • the Event can be delivered substantially as advertised;
  • ticket inventory reflects actual availability;
  • attendees will not be intentionally misled;
  • the Organizer will act in good faith when resolving attendee issues.

These warranties survive the conclusion of the Event to the extent necessary to resolve disputes or legal claims.

18. Records and Audit

The Organizer agrees to maintain accurate records relating to each Event, including ticket allocations, attendance records, refund records, financial information, and communications relevant to ticket sales.

Where reasonably necessary to investigate fraud, payment disputes, or contractual compliance, CIMINOW may request access to relevant records.

The Organizer shall cooperate with reasonable requests and provide supporting documentation within a reasonable period.

Nothing in this section authorizes CIMINOW to access confidential financial records unrelated to Events administered through the Platform.

19. Confidentiality

Each party agrees to protect the confidential information of the other party and to use such information only for the purposes of performing its obligations under these Organizer Terms.

Confidential information includes, but is not limited to:

  • financial information;
  • pricing arrangements;
  • customer data;
  • technical information;
  • business plans;
  • proprietary software;
  • security procedures;
  • non-public operational information.

Confidential information does not include information that:

  • is or becomes publicly available through no fault of the receiving party;
  • was lawfully known prior to disclosure;
  • is lawfully received from a third party without restriction;
  • is independently developed without reference to the confidential information.

Where disclosure is required by law or court order, the receiving party shall, where legally permitted, provide reasonable notice to the other party before disclosure.

20. Indemnification

The Organizer agrees to indemnify, defend, and hold harmless Journi Ltd., CIMINOW, its directors, officers, employees, contractors, affiliates, agents, licensors, payment providers, and service providers from and against any claims, actions, proceedings, damages, liabilities, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • the organization, promotion, or operation of an Event;
  • cancellation or postponement of an Event;
  • personal injury, death, or property damage occurring at or in connection with an Event;
  • inaccurate or misleading Event information;
  • breach of these Organizer Terms;
  • infringement of intellectual property rights;
  • violation of applicable laws or regulations;
  • employment claims involving the Organizer’s personnel or contractors;
  • any act or omission of the Organizer or its representatives.

This obligation survives termination of these Organizer Terms.

21. Limitation of Liability

To the fullest extent permitted by law, CIMINOW shall not be liable for:

  • cancellation, postponement, or poor attendance of an Event;
  • loss of anticipated profits or revenue;
  • reputational damage;
  • indirect, incidental, consequential, punitive, or special damages;
  • technical interruptions beyond our reasonable control;
  • actions or omissions of payment providers, venues, performers, suppliers, or third parties;
  • internet failures, cyberattacks, or telecommunications disruptions.

Except where liability cannot legally be excluded, CIMINOW’s total aggregate liability arising from any Event shall not exceed the total Platform Fees actually received by CIMINOW in relation to that Event.

Nothing in these Organizer Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded.

22. Suspension of Services

CIMINOW may immediately suspend an Organizer account or Event listing where we reasonably believe that:

  • these Organizer Terms have been breached;
  • fraudulent activity has occurred;
  • attendee safety is at risk;
  • applicable laws may have been violated;
  • inaccurate or misleading Event information has been published;
  • payment disputes present an unacceptable financial risk;
  • continued operation may damage the reputation or integrity of the Platform.

Where reasonably practicable, CIMINOW will notify the Organizer of the reason for the suspension and any steps required to restore access.

Emergency suspensions may occur without prior notice where necessary to protect users, attendees, or the Platform.

23. Termination

Either party may terminate this agreement by written notice where there are no active Events with outstanding ticket sales or unresolved financial obligations.

CIMINOW may terminate this agreement immediately where the Organizer:

  • repeatedly breaches these Organizer Terms;
  • engages in fraud or unlawful conduct;
  • becomes insolvent or enters liquidation;
  • fails to honour valid tickets;
  • materially damages the reputation of the Platform;
  • fails to cooperate with legitimate compliance or fraud investigations.

Termination shall not affect any accrued rights, outstanding payment obligations, refund obligations, or provisions intended to survive termination.

24. Recovery of Amounts Owed

The Organizer authorizes CIMINOW to recover any outstanding amounts owed under these Organizer Terms by:

  • deducting amounts from future payouts;
  • applying reserve funds;
  • issuing invoices;
  • setting off amounts owed against monies otherwise payable;
  • pursuing legal remedies where necessary.

Interest may be charged on overdue amounts at the maximum rate permitted by applicable law.

The Organizer shall also be responsible for reasonable costs incurred in recovering outstanding debts, including legal fees where permitted by law.

25. Force Majeure

Neither party shall be liable for delay or failure to perform its obligations where performance is prevented by circumstances beyond its reasonable control, including:

  • hurricanes and tropical storms;
  • earthquakes;
  • fire;
  • flooding;
  • war;
  • terrorism;
  • civil unrest;
  • labour disputes;
  • pandemics;
  • government restrictions;
  • widespread utility failures;
  • internet outages;
  • cyber incidents;
  • other events beyond reasonable control.

The affected party shall notify the other party as soon as reasonably practicable and use reasonable efforts to minimise disruption.

26. Governing Law and Jurisdiction

These Organizer Terms shall be governed by and construed in accordance with the laws of Bermuda.

The courts of Bermuda shall have exclusive jurisdiction over any dispute arising from or relating to these Organizer Terms, except where mandatory law provides otherwise.

Before commencing legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith discussions.

27. Amendments

CIMINOW may amend these Organizer Terms from time to time to reflect changes in applicable law, Platform functionality, commercial practices, or operational requirements.

Updated Organizer Terms will be published on the Platform together with their effective date.

Continued use of the Platform after the effective date of revised Organizer Terms constitutes acceptance of those changes.

28. Severability

If any provision of these Organizer Terms is found to be invalid or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

29. Entire Agreement

These Organizer Terms, together with the CIMINOW Terms and Conditions, Privacy Policy, Refund Policy, applicable fee schedules, and any written agreements executed between the parties, constitute the entire agreement between Journi Ltd. and the Organizer regarding use of the Platform.

No oral representations or prior communications shall modify these Organizer Terms unless confirmed in writing by Journi Ltd.
