Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the CIMINOW ticketing platform, website, mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, purchasing tickets, creating an account, listing an event, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

For the purposes of these Terms:

“CIMINOW”, “we”, “our”, or “us” means Journi Ltd., the owner and operator of the CIMINOW ticketing platform.

“Platform” means the CIMINOW website, mobile applications, software, APIs, ticketing services, and any associated products or services provided by CIMINOW.

“Event Organizer” means any individual, business, association, charity, government agency, or other entity that creates, promotes, manages, or operates an event using the Platform.

“User” means any person who accesses or uses the Platform.

“Ticket Holder” means the individual in possession of a valid ticket purchased through the Platform.

“Event” means any activity, performance, festival, sporting event, conference, tour, transportation service, attraction, or other experience for which tickets or registrations are offered through the Platform.

“Service Fees” means any booking fees, transaction fees, payment processing fees, convenience fees, platform fees, or similar charges collected in connection with the purchase of tickets.

2. About CIMINOW

CIMINOW is an online ticketing and event management platform.

Unless expressly stated otherwise, CIMINOW acts solely as a technology platform that enables Event Organizers to advertise events, issue tickets, process payments, and communicate with attendees.

CIMINOW is generally not the organizer, promoter, venue operator, sponsor, or producer of events listed on the Platform. Responsibility for organizing, managing, operating, and delivering an Event rests solely with the applicable Event Organizer.

Where CIMINOW is identified as the Event Organizer, these Terms continue to apply in addition to any event-specific conditions published for that Event.

3. Acceptance of These Terms

By using the Platform, you represent that:

  • you are at least 18 years of age or have the consent of a parent or legal guardian;
  • you have the legal capacity to enter into binding agreements;
  • all information you provide is accurate and complete;
  • you will comply with these Terms and all applicable laws and regulations.

Your continued use of the Platform constitutes acceptance of any future amendments to these Terms.

4. User Accounts

Certain features of the Platform require registration.

When creating an account, you agree to:

  • provide accurate and current information;
  • maintain the confidentiality of your login credentials;
  • promptly update any changes to your account information;
  • accept responsibility for all activity conducted under your account.

You must immediately notify CIMINOW if you believe your account has been accessed without authorization.

We reserve the right to suspend or terminate accounts that contain false information, are used fraudulently, or violate these Terms.

5. Purchasing Tickets

All ticket purchases are subject to availability.

A purchase is only confirmed once payment has been successfully processed and a confirmation email or digital ticket has been issued.

Submitting payment information does not guarantee ticket availability.

CIMINOW reserves the right to cancel any transaction where:

  • payment cannot be verified;
  • fraudulent activity is suspected;
  • pricing errors have occurred;
  • ticket inventory is incorrect;
  • technical issues prevent successful processing.

If a transaction is cancelled before ticket issuance, any amounts successfully collected will be refunded in accordance with our Refund Policy.

6. Prices, Taxes and Fees

Ticket prices are established by the Event Organizer unless otherwise indicated.

Displayed prices may include applicable taxes, Service Fees, or additional charges depending on the Event.

Service Fees compensate CIMINOW for providing ticketing, payment processing, customer support, and platform services and are generally non-refundable except where required by applicable law or expressly stated otherwise.

All prices are quoted in the currency displayed during checkout.

CIMINOW reserves the right to correct pricing errors at any time before a transaction is completed.

7. Payment Processing

All payments made through the Platform are processed using secure third-party payment service providers selected by CIMINOW.

By submitting payment information, you represent and warrant that:

  • you are authorized to use the selected payment method;
  • the payment information provided is accurate and complete;
  • sufficient funds or credit are available to complete the transaction.

CIMINOW does not store full payment card information unless expressly stated and permitted by applicable law and industry security standards.

If a payment is declined, reversed, or otherwise unsuccessful, CIMINOW may cancel the associated order without further obligation.

8. Ticket Delivery

Upon successful payment, tickets will ordinarily be delivered electronically to the email address associated with your account and may also be accessible through your CIMINOW account or mobile application.

It is your responsibility to:

  • provide a valid email address;
  • ensure your contact information remains current;
  • check your spam or junk mail folders if confirmation is not received;
  • contact CIMINOW promptly if your ticket has not been received.

Failure to receive an email due to incorrect contact information does not invalidate a completed purchase.

9. Digital Tickets and QR Codes

Unless otherwise specified, tickets issued through the Platform are digital tickets containing a unique QR code or similar electronic identifier.

Each QR code:

  • is valid for one admission only;
  • may only be scanned once unless otherwise authorized;
  • becomes invalid after successful entry;
  • must remain legible and unaltered.

Any copied, duplicated, forged, manipulated, or fraudulently obtained ticket may be cancelled without notice or refund.

The Ticket Holder is responsible for safeguarding their ticket and preventing unauthorized use.

Possession of a ticket does not guarantee admission if the ticket has already been redeemed or is otherwise invalid.

10. Event Admission

Admission to an Event is subject to:

  • possession of a valid ticket;
  • compliance with venue rules;
  • compliance with Event Organizer policies;
  • any applicable security screening or identification requirements.

Event Organizers and venue operators reserve the right to refuse admission or remove any individual whose conduct is unlawful, unsafe, disruptive, abusive, intoxicated, or otherwise inconsistent with the safe operation of the Event.

No refund shall be due where admission is refused or revoked because of the Ticket Holder’s breach of these Terms or applicable event policies.

11. Event Changes

Event details, including but not limited to:

  • date;
  • time;
  • venue;
  • performers;
  • speakers;
  • schedules;
  • seating arrangements;
  • supporting acts;
  • activities;

may change without prior notice.

The Event Organizer is solely responsible for determining whether such changes materially affect the Event.

Minor changes shall not ordinarily entitle Ticket Holders to refunds.

CIMINOW will use reasonable efforts to communicate material changes when notified by the Event Organizer.

12. Event Postponement

If an Event is postponed, tickets will ordinarily remain valid for the rescheduled date unless otherwise determined by the Event Organizer.

Where refunds are authorized for postponed Events, they shall be processed in accordance with the Event Organizer’s instructions and the applicable Refund Policy.

Service Fees may remain non-refundable unless otherwise stated.

13. Event Cancellation

If an Event is cancelled and not rescheduled, the Event Organizer is responsible for determining the applicable refund policy.

Where the Event Organizer authorizes refunds, CIMINOW will use reasonable efforts to process eligible refunds through the original payment method.

Refund processing times may vary depending upon the payment provider and financial institution.

CIMINOW shall not be liable for any additional losses including, without limitation:

  • travel expenses;
  • accommodation costs;
  • meals;
  • transportation;
  • lost earnings;
  • incidental expenses;
  • consequential damages.

Ticket Holders are encouraged to obtain appropriate travel insurance where significant travel arrangements are involved.

14. Refund Policy

Unless expressly stated otherwise:

  • all ticket sales are final;
  • refunds are not available for changes of mind;
  • refunds are not available for scheduling conflicts;
  • refunds are not available for failure to attend an Event;
  • refunds are not available for late arrival or refusal of entry resulting from the Ticket Holder’s conduct.

Refunds may be available only where:

  • required by applicable law;
  • authorized by the Event Organizer;
  • an Event is cancelled without rescheduling;
  • CIMINOW determines that a refund is appropriate due to an administrative error.

Where refunds are approved, they shall generally be issued using the original payment method.

Service Fees, processing fees, and delivery charges may remain non-refundable unless otherwise required by law or expressly approved by CIMINOW.

15. Ticket Transfers and Resale

Whether tickets may be transferred is determined by the applicable Event Organizer.

Where ticket transfers are permitted, they must be completed using procedures approved by CIMINOW or the Event Organizer.

Unauthorized resale, commercial resale, auctioning, automated purchasing, ticket scalping, or resale in violation of applicable law or Event Organizer policies may result in:

  • cancellation of tickets;
  • refusal of entry;
  • suspension of user accounts;
  • legal action where appropriate.

CIMINOW reserves the right to invalidate any ticket reasonably believed to have been obtained or transferred fraudulently.

16. Fraud Prevention

CIMINOW actively monitors transactions for fraudulent activity.

We reserve the right to:

  • request additional identity verification;
  • delay ticket issuance pending review;
  • cancel suspicious transactions;
  • limit purchase quantities;
  • suspend or terminate accounts involved in suspected fraud.

Chargebacks initiated without valid legal grounds, or in bad faith, may result in permanent suspension of Platform access and recovery of associated administrative costs where permitted by law.

CIMINOW may cooperate with payment providers, financial institutions, Event Organizers, and law enforcement authorities in investigating fraudulent or unlawful activity.

17. Event Organizer Responsibilities

Event Organizers using the Platform represent and warrant that they have the legal authority to organize, promote, and conduct their Events.

Event Organizers are solely responsible for:

  • the planning, promotion, management, and operation of their Events;
  • obtaining all licences, permits, approvals, insurance, and permissions required by law;
  • ensuring the accuracy of all Event information published on the Platform;
  • honouring all valid tickets issued through the Platform;
  • complying with all applicable health, safety, accessibility, employment, consumer protection, and other legal requirements;
  • managing admission, security, staffing, and crowd control;
  • communicating Event changes to CIMINOW in a timely manner;
  • determining and funding refunds where applicable.

Event Organizers shall not publish false, misleading, deceptive, or unlawful Event information.

CIMINOW reserves the right to remove, suspend, or refuse any Event listing that, in its sole discretion, violates these Terms, applicable law, or may adversely affect the reputation or operation of the Platform.

18. Customer Responsibilities

Users and Ticket Holders agree to:

  • provide accurate information when creating an account or purchasing tickets;
  • comply with these Terms and all applicable laws;
  • comply with venue rules and Event Organizer policies;
  • behave respectfully toward staff, volunteers, performers, vendors, and other attendees;
  • safeguard their tickets and account credentials;
  • promptly report unauthorized account activity.

Users are responsible for ensuring they meet any published age restrictions, dress codes, health requirements, or other admission conditions applicable to an Event.

19. Prohibited Use

You agree not to:

  • use the Platform for any unlawful purpose;
  • interfere with or disrupt the operation or security of the Platform;
  • upload malicious software, viruses, or harmful code;
  • use automated software, bots, scripts, or scraping tools without written authorization;
  • attempt unauthorized access to accounts, systems, or data;
  • create fraudulent accounts;
  • purchase tickets using stolen or unauthorized payment methods;
  • impersonate another person or organization;
  • copy, reproduce, or exploit Platform content without permission;
  • engage in unauthorized ticket resale or scalping;
  • interfere with another user’s use and enjoyment of the Platform.

CIMINOW may suspend or terminate access without notice where prohibited conduct is suspected.

20. Intellectual Property

The Platform, including its software, design, branding, logos, graphics, databases, content, text, images, and underlying technology, is owned by or licensed to CIMINOW Ltd. and is protected by applicable intellectual property laws.

Except as expressly permitted, no part of the Platform may be copied, reproduced, modified, distributed, published, reverse engineered, or commercially exploited without prior written consent.

Event descriptions, logos, photographs, and promotional materials supplied by Event Organizers remain the property of their respective owners. By submitting such content, Event Organizers grant CIMINOW a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and distribute the content for the purpose of operating, promoting, and marketing the Platform and the applicable Event.

21. Photography and Media

Events may be photographed, filmed, streamed, or otherwise recorded by Event Organizers, venues, media organizations, or CIMINOW.

By attending an Event, you acknowledge that your image, likeness, or voice may be captured incidentally or intentionally and used for legitimate promotional, marketing, editorial, archival, or operational purposes without additional compensation, unless prohibited by applicable law.

If an Event has specific photography restrictions, those restrictions shall take precedence and will be communicated by the Event Organizer.

22. Accessibility

CIMINOW encourages Event Organizers to provide accessible Events wherever reasonably practicable.

Accessibility features, seating, parking, or accommodation requests are determined by the Event Organizer or venue and may vary between Events.

Users requiring accessibility accommodations should contact the Event Organizer before purchasing tickets whenever possible.

CIMINOW does not guarantee the availability of specific accessibility services unless expressly stated.

23. Privacy and Data Protection

The collection, use, storage, and disclosure of personal information are governed by the CIMINOW Privacy Policy.

By using the Platform, you consent to the processing of your personal information in accordance with the Privacy Policy and applicable data protection legislation.

Personal information may be shared with Event Organizers where necessary to facilitate Event administration, ticket validation, customer service, regulatory compliance, or legal obligations.

24. Third-Party Services

The Platform may integrate with or provide access to third-party services, including payment processors, mapping services, email providers, marketing platforms, social media platforms, analytics providers, and other technology partners.

CIMINOW is not responsible for the availability, content, security, or performance of third-party services.

Your use of third-party services may be subject to the separate terms and privacy policies of those providers.

25. Limitation of Liability

To the fullest extent permitted by applicable law, CIMINOW shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

  • the cancellation, postponement, or modification of an Event;
  • acts or omissions of Event Organizers, venues, performers, vendors, or third parties;
  • personal injury, illness, property loss, theft, or damage occurring at an Event;
  • travel or accommodation expenses;
  • interruption of business or loss of profits;
  • technical failures, internet interruptions, or system outages beyond our reasonable control.

Where CIMINOW is found liable notwithstanding the foregoing, our aggregate liability shall not exceed the amount paid by the User to CIMINOW for the applicable ticket transaction giving rise to the claim, except where a greater amount is required by law.

26. Indemnification

You agree to indemnify, defend, and hold harmless CIMINOW, its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your use of the Platform;
  • your breach of these Terms;
  • your violation of any applicable law or regulation;
  • your infringement of the rights of any third party;
  • any content you submit to the Platform; or
  • where you are an Event Organizer, the planning, promotion, operation, or cancellation of your Event.

This obligation survives the termination of your account and your use of the Platform.

27. Force Majeure

CIMINOW shall not be liable for any delay, interruption, failure to perform, or inability to provide services resulting from circumstances beyond our reasonable control, including but not limited to:

  • acts of God;
  • hurricanes, tropical storms, earthquakes, floods, or other natural disasters;
  • fire or explosion;
  • war, terrorism, civil unrest, or public disorder;
  • government action or restrictions;
  • labour disputes or industrial action;
  • epidemics, pandemics, or public health emergencies;
  • utility failures;
  • internet or telecommunications outages;
  • cyberattacks or malicious third-party activity; or
  • any other event beyond our reasonable control.

Where reasonably practicable, CIMINOW will work with Event Organizers to communicate material service disruptions to affected users.

28. Suspension and Termination

CIMINOW reserves the right, at its sole discretion and without prior notice where appropriate, to suspend, restrict, or terminate access to the Platform if we reasonably believe that a User has:

  • breached these Terms;
  • engaged in fraudulent or unlawful activity;
  • compromised the security or integrity of the Platform;
  • abused customer support staff or other users;
  • initiated fraudulent or bad-faith payment disputes;
  • used the Platform in a manner that may expose CIMINOW, Event Organizers, or other users to legal or reputational risk.

Termination of access does not automatically entitle a User to a refund or compensation.

Any provisions of these Terms that by their nature should survive termination shall remain in full force and effect.

29. Electronic Communications

By creating an account or purchasing tickets through the Platform, you consent to receive communications electronically from CIMINOW.

These communications may include:

  • purchase confirmations;
  • ticket delivery notifications;
  • event updates;
  • customer service correspondence;
  • security alerts;
  • changes to these Terms or related policies; and
  • other notices required for the operation of the Platform.

Where required by law, marketing communications will only be sent with your consent, and you may unsubscribe at any time without affecting essential service-related communications.

30. Governing Law

These Terms and any dispute arising out of or relating to the Platform or its services shall be governed by and construed in accordance with the laws of Bermuda, without regard to conflict of law principles.

31. Dispute Resolution

The parties agree to use reasonable efforts to resolve disputes through good-faith discussions before commencing legal proceedings.

If a dispute cannot be resolved informally, either party may pursue remedies through the courts of Bermuda, which shall have exclusive jurisdiction over any proceedings arising from or relating to these Terms, except where mandatory law provides otherwise.

Nothing in these Terms prevents CIMINOW from seeking injunctive or equitable relief where necessary to protect its intellectual property, confidential information, systems, or other legal rights.

32. Changes to These Terms

CIMINOW may amend these Terms from time to time to reflect changes in our services, legal obligations, business practices, or technology.

Updated Terms will be published on the Platform together with their effective date.

Your continued use of the Platform after revised Terms become effective constitutes your acceptance of those changes.

Where required by applicable law, we will provide additional notice of material changes.

33. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

34. Waiver

No failure or delay by CIMINOW in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.

Any waiver shall only be effective if made in writing and signed by an authorized representative of CIMINOW.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of CIMINOW.

CIMINOW may assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, corporate restructuring, sale of assets, or other business transaction without prior notice to Users.

36. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Organizer Terms (where applicable), and any Event-specific conditions published on the Platform, constitute the entire agreement between you and CIMINOW regarding your use of the Platform and supersede all prior understandings, representations, and agreements relating to the same subject matter.
